Welcome to Codeair Software Solutions ("Codeair", "we", "our", "us"). These Terms and Conditions govern your use of our website, custom software engineering services, IT consulting, AI development, and the purchase of digital source codes or readymade software from our marketplace.

1. Custom Services & Consulting

1.1 Project Scope: All custom software development, AI integration, and startup consulting services are governed by individual Statements of Work (SOW) or Master Service Agreements (MSA) signed by both parties.

1.2 Intellectual Property (Custom Work): Upon full payment, intellectual property rights for custom-developed software are transferred to the client, unless utilizing pre-existing Codeair proprietary frameworks, which will be licensed perpetually.

1.3 Outsourcing: Clients hiring dedicated developers or engaging in IT outsourcing must adhere to the non-solicitation clauses outlined in their specific contracts.

2. Digital Marketplace & Source Codes

2.1 License Grants: Digital products (scripts, app templates) are sold under specific licenses (Regular or Extended). A Regular License is for free end-products. An Extended License is required if you intend to charge users for the end-product.

2.2 Restrictions: You may not resell, redistribute, or publish our source codes as your own standalone product on any marketplace, regardless of the license purchased.

2.3 Product Delivery: Digital products are delivered instantly via download links after successful payment verification.

3. Limitation of Liability

Codeair provides digital codes "as is" without warranties of absolute flawlessness. We shall not be held liable for any indirect, incidental, or consequential damages arising from the use of our software, services, or AI consulting recommendations.

4. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Raipur, Chhattisgarh.
