Cancellation Policy

Project Cancellation


Either party may cancel a project engagement by providing written notice. The financial implications of cancellation depend on the project stage as defined in the Refund Policy.


Notice Period


  • **Standard projects:** 15 days written notice
  • **Retainer engagements:** 30 days written notice
  • **Time-critical projects:** As defined in the Statement of Work

  • Client Responsibilities Upon Cancellation


    Upon cancellation:

    1. Client shall pay for all work completed and accepted up to the cancellation date

    2. Codeair will deliver all completed work, documentation, and source code as defined in the SOW

    3. Codeair will provide reasonable transition assistance (up to 10 hours) to facilitate handoff

    4. Any third-party service accounts (hosting, domain, APIs) created for the project will be transferred to the client


    Codeair Cancellation Rights


    Codeair reserves the right to cancel a project engagement if:

  • The client fails to make payments as scheduled
  • The client fails to provide necessary information or access required for project progress for more than 30 days
  • The project scope changes materially without corresponding adjustment to timeline or budget
  • The client engages in conduct that makes the working relationship untenable

  • In any of these cases, the client is responsible for payment for all work completed to date.


    Effect of Cancellation


    Cancellation terminates the project engagement but does not affect:

  • Confidentiality obligations (which survive termination)
  • Payment obligations for completed work
  • Intellectual property provisions as defined in the SOW
